HTZ.exchange furnishes details and grants access to the decentralized, non-custodial framework dubbed the HTZ Protocol. Distinguished as a front-end user interface, HTZ.exchange operates independently from the HTZ Protocol's smart contracts, which are decentralized and function across one or more blockchains. HTZ.exchange represents merely one among numerous interfaces that facilitate access to the Protocol, without any exclusive permissions, as the Protocol remains openly accessible, allowing anyone to develop a user interface or access point.

Binding Agreement

Upon accessing or utilizing our services, which span various websites including but not limited to HTZ.exchange and its subdomains, applications, and other services linking to these terms, alongside any information, text, links, graphics, photos, audio, videos, or other materials available therein, you enter into a legally binding agreement with us, incorporating these terms along with other referenced policies.

In instances where these terms may conflict with any other applicable terms, these terms will prevail unless explicitly stated otherwise. Non-agreement with these terms prohibits the use of the services, and you should refrain from visiting the site or engaging with the services.

Service Usage

Engagement with the services requires the legal capacity to enter into the agreement. By utilizing the services, you affirm your eligibility. Ineligibility prohibits access to or use of the site and services.

Risk Assumption

You acknowledge the risks associated with transactions dependent on smart contracts and experimental technology. Transactions via the Protocol involve smart contracts on various blockchains, cryptographic tokens, and nascent software and applications interacting with blockchain networks. These technologies are experimental, speculative, inherently risky, and susceptible to change.

Risks include potential disruptions from bugs, malfunctions, cyberattacks, or blockchain modifications, possibly leading to total loss of cryptoassets, their market value, or digital funds. You bear sole responsibility for securing the private key associated with your blockchain address for Protocol interaction. We disclaim any liability for such risks. If these risks are unacceptable, engagement with blockchain-based transactions is discouraged.

Blockchain technology's immutable nature means entries generally cannot be altered or deleted. This includes smart contracts and cryptoassets generated by such contracts. Therefore, transactions recorded on the blockchain, including cryptoasset transfers and programmed data, are considered permanent and irrevocable. Extreme caution is advised for transactions destined for blockchain recording.

We disclaim liability for third-party services or links. We do not assume responsibility for the content or services of third parties, including networks or apps like Discord or MetaMask, and do not vouch for the accuracy of third-party services or materials. The HTZ.exchange user interface, sometimes hosted on third-party services like IPFS, is not within our control regarding its operation. The use and access of third-party products or services, even through our services, are solely at your risk.

You consent to the automated processing of transactions by smart contracts. All transactions via the services are processed automatically using one or more blockchain-based smart contracts. By engaging in transactions through the services, you consent to this automated processing, with the applicable smart contract dictating the distribution of transaction funds and cryptoasset ownership.

You acknowledge the inherent risks of service usage. Sole responsibility for evaluating the services before use lies with you, as all transactions through the services are irreversible, final, and non-refundable. Potential service disruptions or impacts from cyber-attacks, activity surges, computer viruses, or other challenges are acknowledged. We are not obligated to inform you of all potential risks associated with the services' use and access. You accept these risks and will not hold any person or entity responsible for any resulting losses.

Wallet security is your sole responsibility. Maintaining your wallet's security against unauthorized access is essential, as any such access could result in loss or theft of cryptoassets or funds in your account. We are not involved in managing your wallet's security, nor will we be held responsible for any unauthorized wallet access. Monitoring your wallet remains your responsibility.

User Commitments

By engaging with HTZ.exchange, you affirm that you are not:

• Engaging in or facilitating money laundering or any illegal activities.

• Participating in fraudulent activities.

• Acquiring cryptoassets through inappropriate means, including the utilization of stolen funds.

• Subject to sanctions enforced by entities such as the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, Her Majesty’s Treasury, or any similar authority.

• Listed on any sanctions lists such as the Specially Designated Nationals and Blocked Persons List (SDN List), Consolidated Sanctions List, or any other list administered by OFAC.

• Residing or operating within any country or territory under sanctions, including but not limited to the nations explicitly mentioned.

• A resident or citizen of Canada, Switzerland, or the United States of America.

• Violating the terms set forth by HTZ.exchange.

Accessibility and Quality of Services

HTZ.exchange does not guarantee uninterrupted access or the quality of the services provided. Acknowledging that the site and services may, from time to time, be inaccessible or inoperable due to various factors beyond our control, including equipment malfunctions, maintenance, or disruptions in the underlying blockchain infrastructure. Users acknowledge the risk inherent in accessing and using the services and agree to bear such risks independently.

Disclaimers and Limitations of Liability

HTZ.exchange explicitly disclaims all warranties and conditions to the maximum extent permitted by law, asserting that the services are provided on an "as is" and "as available" basis. This disclaimer extends to the accuracy, reliability, and completeness of the services provided.

Limitation of Liability

HTZ.exchange and its associated parties will not be liable for any form of loss or damage arising from:

• The use or inability to use the services.

• Unauthorized access to or use of the services.

• Conduct or content of other users or third parties.

• The functionality or operation of the services, including but not limited to losses caused by malware, data loss, or system failures.

The liability of HTZ.exchange, under any circumstances, will not exceed the sum of one thousand U.S. dollars (U.S. $1,000.00), emphasizing that the platform will not be required to deliver any virtual currency as damages or undertake specific performance or any other form of remedy.

This limitation applies irrespective of the form of action, whether based on contract, tort, or any other legal or equitable theory, and regardless of whether HTZ.exchange has been informed of the possibility of such damages.

In jurisdictions where the exclusion or limitation of certain warranties and liabilities is not allowed, such limitations and disclaimers may not apply. The extent of HTZ.exchange's liability and the scope of warranties will be limited as permitted under applicable law.

Indemnification

You commit to indemnify, defend, and exonerate us from any claims, demands, including reasonable attorneys' fees, initiated by any third party due to activities including but not limited to your breach of the Agreement, contributions made to the Services, misuse of the Services or associated smart contracts, violations of laws or regulations, infringement of third-party rights, utilization of third-party services, or any misrepresentations made by you. We retain the right to exclusively defend and control any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You are not to settle any claims without our explicit written consent.

Waiver of Injunctive or Other Equitable Relief

You acknowledge that you are not entitled to seek injunctive or other equitable relief that might interfere with or prevent the development or exploitation of the Services, or any content, product, or intellectual property managed by HTZ.exchange, to the fullest extent allowed by law.

Termination and Cancellation

This Agreement remains effective until it is terminated by either you or us. You may terminate this Agreement at any time by discontinuing all access to the Site and Services. We may terminate this Agreement or restrict your access to the Site or Services at our discretion, including but not limited to circumstances where your use of the Services poses a risk or liability, is utilized for unlawful purposes, or is no longer commercially viable. We reserve the right to modify the Services without obligation to update. It is your responsibility to monitor changes to the Services that may affect you. We may also remove the Services or content therein or cancel the Services at any time without notice.

Severability

If any term of the Agreement is found to be unlawful, void, or unenforceable, such term shall still be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed from the Agreement. This does not affect the validity and enforceability of any remaining provisions.

Entire Agreement

The Agreement, including these Terms and any operational rules posted by us, constitutes the entire agreement between you and us, superseding any prior agreements, communications, and proposals. Our failure to exercise or enforce any right or provision of the Agreement does not constitute a waiver of such right or provision.

Governing Law

The Terms and any separate agreements through which we provide Services to you shall be governed and interpreted in accordance with the laws of Panama.
